2. Services
2.1 Scope of Work
All services rendered by Moira Media will be outlined in a written proposal, service agreement, or statement of work agreed upon by both parties prior to commencement. Any work performed outside the agreed scope will be subject to additional fees and will require written approval from the client.
2.2 Client Responsibilities
To enable Moira Media to deliver services effectively, the client agrees to:
- Provide accurate, complete, and timely information, materials, and approvals as required
- Designate an authorised point of contact for all project-related communication
- Review and provide feedback on deliverables within agreed timeframes
- Ensure that any materials provided to Moira Media do not infringe on the rights of any third party
Delays caused by the client may affect project timelines and Moira Media shall not be held liable for such delays.
2.3 Revisions
3. Fees and Payment
3.1 Pricing
All fees will be set out in the relevant proposal or service agreement. Moira Media reserves the right to adjust its pricing from time to time. Any price changes will be communicated in writing prior to the commencement of new work.
3.2 Invoicing and Payment Terms
Unless otherwise agreed in writing:
- A deposit of 50% is required before work commences on any project
- The remaining balance is due upon completion and prior to the delivery of final files
- Retainer arrangements are invoiced monthly in advance
- Payment is due within 7 business days of invoice date
3.3 Late Payment
Moira Media reserves the right to suspend work on any project where payment is outstanding beyond the agreed terms. Outstanding invoices may attract interest at a rate of 2% per month. The client will be responsible for any costs incurred in recovering overdue amounts, including legal fees.
3.4 Expenses
Any third-party costs incurred on behalf of the client, including but not limited to stock imagery, printing, advertising spend, or platform fees, will be billed to the client at cost and require prior written approval.
4. Intellectual Property
4.1 Ownership of Deliverables
Upon receipt of full and final payment, Moira Media assigns to the client all rights to the final deliverables as specified in the agreed scope of work. This assignment applies only to the final approved deliverables and not to any preliminary concepts, drafts, or working files.
4.2 Moira Media Intellectual Property
All methodologies, processes, templates, and tools developed by Moira Media remain the exclusive intellectual property of Moira Media. Nothing in these Terms or any service agreement grants the client a licence to use Moira Media’s proprietary processes or materials beyond the scope of the agreed project.
4.3 Client Materials
The client retains ownership of all materials, content, and intellectual property provided to Moira Media for the purposes of completing a project. The client warrants that they have the right to use and share all such materials and that doing so does not infringe the rights of any third party.
4.4 Portfolio Rights
Unless otherwise agreed in writing, Moira Media reserves the right to feature completed work in its portfolio, on its website, and in marketing materials. Client confidentiality will be respected at all times.
5. Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the course of the engagement. This obligation continues after the conclusion of the working relationship. Neither party will disclose confidential information to third parties without the prior written consent of the other, except where required by law.
6. Termination
6.1 Termination by the Client
The client may terminate a project or retainer arrangement by providing 30 days written notice. Any work completed up to the date of termination will be invoiced and is payable in full. The deposit is non-refundable.
6.2 Termination by Moira Media
Moira Media reserves the right to terminate an engagement in the event of non-payment, breach of these Terms, or conduct that is deemed harmful, unethical, or damaging to Moira Media’s reputation. In such cases, all outstanding fees for work completed remain payable.
6.3 Effect of Termination
Upon termination, Moira Media will provide the client with all completed work and materials for which full payment has been received. Ownership of incomplete or unpaid deliverables remains with Moira Media.
7. Limitation of Liability
Moira Media will perform all services with reasonable skill and care. However, we do not guarantee specific outcomes, results, or performance metrics from any campaign, strategy, or deliverable.
To the fullest extent permitted by law, Moira Media’s total liability to the client for any claim arising out of or in connection with our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
Moira Media shall not be liable for any indirect, consequential, or special loss, including loss of profit, revenue, or business opportunity.
8. Warranties and Representations
Each party warrants that:
- They have the authority to enter into and perform their obligations under any agreement with Moira Media
- They will comply with all applicable laws and regulations in connection with the services
- Any information provided to the other party is accurate and not misleading
9. Website Use
Access to and use of the Moira Media website is provided for informational purposes. While we take care to keep content accurate and up to date, we make no warranties regarding the completeness or accuracy of the information on our website.
Moira Media reserves the right to modify, suspend, or discontinue any part of the website at any time without notice. We are not liable for any disruption to website availability.
10. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from or in connection with these Terms shall be subject to the jurisdiction of the South African courts.
Where possible, the parties agree to attempt to resolve any dispute informally and in good faith before pursuing formal legal proceedings.

Moira Media reserves the right to update these Terms and Conditions at any time. The most current version will always be available on our website. Continued engagement with our services following any update constitutes acceptance of the revised terms.
